(referred to as “AMCG,” “We,” or “Us”), provides the content and services available on the website, asianmedicinecertificationgroup.org   (the “Site”) to you, subject to the following terms and conditions (“Terms”), our Privacy Policy, and other terms and conditions and policies which you may find throughout our Site in connection with certain functionality, features or promotions as well as customer service, all of which are deemed a part of and included within these Terms.

Age Requirements

This Site is not intended for children and children are not permitted to access this Site. You must be at least 18 years of age to make a purchase on this Site, register on this Site, and/or provide personal information to Us on this Site.

Your Agreement

By accessing or using this Site, you are acknowledging that you have read, understand, and agree, without limitation or qualification, to be bound by these Terms. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS, YOU MAY NOT USE THIS SITE. Accepting these Terms electronically by accessing and/or using this Site shall be given the same legal and binding effect as if these Terms were signed manually in paper form by you.

AMCG is not a medical provider, licensing body, or accrediting body.  The services offered through this Site and related certifications (“Services”) do not constitute medical advice or constitute any type of warranty related to the quality of any practitioners that obtain a certification through AMCG or this Site. This Site and the related Services consist of certification through a private entity based on the amount of education and training documentation provided by those seeking to obtain a certification through AMCG.  Users of this Site (including holders of the certifications offered by AMCG in relation to the Services) retain all responsibility regarding treatment of patients, state licensure requirements, and ensuring proper and timely follow-up with their patients.

AMCG does not warrant that the functioning of this Site or the Services will be uninterrupted or that the Services and any associated information will meet your requirements.  No oral or written information or advice given by AMCG or any of its employees, representatives, agents or distributors will create a warranty.  We specifically disclaim all warranties related to the Services and functionality of this Site. Unless otherwise expressly stated herein or if such disclaimers are not available under applicable law, AMCG and its officers, directors, employees, agents, partners and licensors disclaim all other warranties, whether express or implied, including without limitation, the following warranties: (a) of merchantability and fitness for a particular purpose, (b) against infringement of any third-party intellectual rights, (c) related to the transmission or delivery of the services or its content, (d) relating to the accuracy, reliability, timeliness, correctness, or completeness of the Services, and (e) otherwise relating to the performance of the Services. 

Updates

We reserve the right to change these Terms at any time in our sole discretion and without notice by posting the updated version on this Site. Any changes are effective immediately upon posting to this Site. You may review the current Terms in effect at Terms & Conditions. Your continued use of Services or this Site following such updates shall be deemed as an acceptance by you of any changes to these Terms.  When We make substantial updates, We may inform you that these Terms have been updated when you log into your Account (hereinafter defined) on this Site. 

Privacy

Please review our Privacy Policy so that you may understand our privacy practices related to your information and this Site.  By agreeing to these Terms (or accessing this Site), you agree to the terms of the Privacy Policy.

Registration, Applications, and Communications

When accessing this Site, you may be provided with an opportunity to register and set-up an account and/or submit an application (collectively your “Account”) and you may be asked to provide basic information in relation to your Account.  You represent that all information that you provide about yourself in relation to your Account is accurate. You agree that if you provide a phone number and email address to Us, We may use your phone number and email address to send you notifications and other Account-related communications which may include surveys, feature updates, url links, updates related to your application, Service issues, special announcements and/or marketing promotions or other information about your Account. You acknowledge and agree that you may incur charges from your telecommunications provider related to such communications and you agree to be communicated with in this fashion.

All privileges associated with Accounts may only be used by the individual to whom the account is issued. We reserve the right to modify products and benefits offered in relation to your Account at any time without prior notification. Registering for an Account on behalf of someone other than yourself is not permitted unless an exception under the law applies.  Account registrations are issued to individuals and are not issued to entities.  Shared accounts are prohibited. 

Use of Services & Products and Third-Party Sites

These Terms govern use of this Site, the Services, and any other use of AMCG’s digital products and/or services. These products and services are provided either directly by AMCG and its subsidiaries or through various third-party platforms and devices (e.g., mobile and tablet).  By placing an order or submitting an application through this Site, you agree to be bound by these Terms. If you do not agree to be bound by these Terms, you should not place an order or submit an application for Services through this Site.

We are not responsible for third-party sites or services that may be accessible to you through this Site and encourage you to review any such third-party’s terms and conditions, which will apply to your use of such third-party services and/or sites.

Products and Services for Personal Use

The products and Services available on the Site, and any samples thereof that may be provided to you through this Site, are for personal and/or professional use only. You may not rent, lease, lend, sell, redistribute or sublicense this Site or the Services. You may not copy (except as expressly permitted by these Terms), decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of this Site or the Services, or any updates, or any part thereof.

We reserve the right, with or without notice, to cancel any order to be filled or products or services to be provided to you that We believe, in our sole discretion, may result in the violation of these Terms or applicable law.

Subscription & Purchase Policies and Procedures

In addition to the other sections of these Terms, when you purchase or subscribe to our products or Services through this Site, you agree to the following:

1. Changes to Subscriber Agreement.  We may change these Terms and those that apply to your purchases made through this Site at any time by notifying you at the time you submit an order. The changes also will appear in this document, which you can access at the moment of checkout. By purchasing a product or Service through this Site after changes are made to these Terms, you signify that you agree to be bound by such changes. We recommend reviewing these Terms closely at the time of purchase or subscribing, and upon renewal.
2. Fees and Payments.  When making a purchase through this Site, you agree to pay the applicable subscription fees and any other charges incurred in connection with your Account for AMCG’s Services at the rates in effect when the charges were incurred. All fees and charges are non-refundable, and We reserve the right to issue refunds or credits at our sole discretion. If We do issue a refund or credit, We are under no obligation to issue the same or similar refund in the future and such refund or credit shall not be construed as waiving any other right provided for by these Terms or applicable law. We may change the fees and charges then in effect, or add new fees or charges, by giving you notice at the time of renewal and/or purchase. You acknowledge that the amount of recurring fees may change upon prior notice to you, and by providing payment methods to Us, you authorize recurring charges on the financial account you provide. You represent that you are an authorized user on each account you provide to Us for payment purposes and have full authority to authorize recurring transactions to such account. You understand that this authorization shall remain in effect until We receive a written cancellation from you.  Unless otherwise stated, all fees are in U.S. dollars. If your payment method fails or your account is past due, We may terminate or suspend your use of the Services. You specifically agree to the following fees for any of the following Services purchased by you, at the time of purchase:
3. Auto-Renewal.  This Agreement shall remain in full force and effect while you use our Services, access this Site, or make purchases through this Site. All subscriptions shall automatically renew without prior notice. You agree to such autorenewal of any subscriptions you have through this Site unless you cancel the subscription before it renews by notifying AMCG at amcgteam@asianmedicinecertificationgroup.org at least seven (7) days prior to such autorenewal.  You agree to all fees associated with autorenewals of subscriptions in accordance with this section.
   
   • Basic Level: Free
   • Intermediate Level: $2,000 per year
   • Advanced Level: $4,000.00 per year
4. Term & Termination.  Subscriptions shall remain in effect for twelve (12) months from the time of purchase (the “Subscription Term”).  You are responsible for payment obligations hereunder even if you stop using or accessing the Services during the Subscription Term. You may terminate your subscription prior to the end of the current Subscription Term by notifying AMCG at amcgteam@asianmedicinecertificationgroup.org, subject to the payment obligations specified herein.  If you terminate your subscription within the first twelve (12) months of your subscription (prior to the end of the initial Subscription Term), you agree to pay AMCG the greater of (a) Fifty percent (50%) of your total subscription payment obligation for the initial Subscription Term; or (b) a pro rata amount calculated based on the number of months remaining in the initial Subscription Term at the time of cancellation. After the initial Subscription Term, you may cancel your subscription at any time without penalty. We reserve the right to cancel subscriptions at any time in our sole discretion. If We cancel your subscription prior to the end of the Subscription Term, We will refund any subscription fees not yet incurred at the time of cancellation, calculated on a pro rata basis.
5. Indemnification.  You acknowledge and understand that you are responsible for your personal experience and will not hold AMCG at fault for any experiences you have when using AMCG’s products and Services, including without limitation, training, certification, and/or professional consultancy services. You agree to fully defend, indemnify, and hold harmless AMCG and its officers, directors, agents, affiliates, distributors, representatives, and employees from any and all third-party claims, demands, liabilities, costs and expenses, including reasonable legal fees, costs and expenses, resulting from your breach of these Terms or submission of false information to AMCG.
   
   

Accuracy of Information on this Site

We attempt to be as accurate as possible when describing our Services on this Site; however, We do not warrant that the product descriptions, colors, information or other content available on the Site are accurate, complete, reliable, current, or error-free.  This Site may contain typographical errors or inaccuracies and may not be complete or current. We therefore reserve the right to correct any errors, inaccuracies or omissions (including after an order has been submitted) and to change or update information at any time without prior notice. Please note that such errors, inaccuracies or omissions may relate to pricing and availability, and We reserve the right to cancel or refuse to accept any order placed based on incorrect pricing or availability information. However, you will not be responsible for payment for any pricing terms that were not accurate at the time of your purchase or subscription. 

Intellectual Property

All information and content available on asianmedicinecertificationgroup.org and its look and feel, including but not limited to trademarks, logos, service marks, features, functions, text, graphics, logos, button icons, images, audio clips, data compilations and software, and the compilation and organization thereof (collectively, the “Content”) is the property of AMCG or our parents, subsidiaries, affiliates, partners or licensors, and/or such third-party whose services or products are made accessible through this Site, and are protected by United States and international laws, including laws governing copyrights and trademarks.

Except as set forth in the limited licenses expressly set forth in these Terms, or as required under applicable law, neither the Content nor any portion of the Site or Services may be used, reproduced, duplicated, copied, sold, resold, accessed, modified, or otherwise exploited, in whole or in part, for any purpose without our express, prior written consent. The use of this Site or any part of the Service, except for use of the Service as expressly permitted in these Terms, is strictly prohibited. Use in violation of these Terms may subject you to civil and criminal penalties, including possible monetary damages for actions related to copyright infringement.

Limited Licenses: Use Restrictions

We grant you a limited, revocable, non-transferable, and non-exclusive license to access and make personal use of asianmedicinecertificationgroup.org as specified in these Terms. You understand and agree that you will not do or attempt to do or cause any third party to do or attempt to do any of the following in connection with your use of the Site:

• modify, reverse engineer or create any derivative works based upon the Site or any Content;
• impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity;
• “stalk” or otherwise harass including advocating harassment of another, entrap or harm any third party including harming minors in any way;
• violate any applicable local, state, national or international law;
• transmit, upload, post, e-mail, share, distribute, reproduce, or otherwise make available any software viruses, malware, program, code, file, or other material intended to interrupt, disrupt, alter, destroy, or limit any part of the Site; and/or

You are not permitted to publish links to this Site without prior approval by AMCG. Any website that links to this Site (i) may link to, but not replicate, any and/or all of our Content; (ii) may not imply that We are endorsing such website or its services or products; (iii) may not misrepresent its relationship with AMCG; (iv) may not contain content that could be construed as distasteful, obscene, offensive controversial or illegal or inappropriate for any ages (as determined in our sole discretion); (v) may not portray AMCG or our products or Services in a false, misleading, derogatory, or otherwise offensive or objectionable manner, or associate AMCG with undesirable products, services, or opinions; and/or (vi) may not link to any page of Site other than the home page. We may, in our sole discretion, request that you remove any link to the Site, and upon receipt of such request, you shall immediately remove such link and cease any linking unless separately and expressly authorized in writing by AMCG to resume linking.

Any unauthorized use by you of this Site or any and/or all of our Content automatically terminates the limited licenses set forth in this Section 6 without prejudice to any other remedy provided by applicable law or these Terms.

Your Obligations and Responsibilities

By accessing or using this Site or any Content, you agree that you will comply with these Terms, applicable law, and any other warnings or instructions provided on this Site. You may not make any change or alteration to any portion of this Site, Content, or Services that may appear or be made available on this Site. You may not impair, in any way, the integrity or operation of the Site. Without limiting the generality of any other provision of these Terms, if you default negligently or willfully in any of the obligations set forth in these Terms, you shall be liable for all the losses and damages that are sustained by AMCG, our parents, subsidiaries, affiliates, partners or licensors. You acknowledge that any fraudulent or unlawful conduct through this Site or our Services, may be reported to law enforcement.

Your Account

You may view and use many features of the Site without registering, including making purchases, but in order to access and use some parts of the Site, you may need to register an account with Us. You are responsible for maintaining the confidentiality of your Account, username and password and for restricting access to your computer. If there has been an unauthorized use of your password or account, you agree to notify Us immediately. You assume full responsibility for any disclosures of your private information that occur as a result of password/account sharing, accessing or using the Services in locations that are not private, using unsecure connections, or other practices that jeopardize the privacy of your information or Account.

You are responsible for providing and maintaining current, complete, accurate and truthful information on your Account. You agree to accept responsibility for all activities that occur under your Account, username and/or password, or because you fail to maintain sufficient security over your Account, username and/or password. You represent that you have the legal authority to agree to these Terms and to accept liability for harm caused by any wrongful use of this Site or Content resulting from access or use under your Account. You agree that you will not allow or permit another individual to access or to use your Account for any reason.

You represent and warrant that you own or otherwise control the rights to the information you provided when registering and using your Account. You may cancel your online account with Us at any time by emailing Us at amcgteam@asianmedicinecertificationgroup.org. We reserve the right to refuse Service and/or terminate accounts without prior notice if We determine, in our sole discretion, that Terms have been or may be violated or that it would be in our best interest to do so.

User Content

When you transmit, upload, post, e-mail, share, distribute, reproduce or otherwise make available suggestions, ideas, inquiries, feedback, data, text, software, music, sound, photographs, graphics, images, videos, messages or other materials (“User Content”) on this Site in areas that are not subject to privacy protections (outside of your registered Account), you are entirely responsible for such User Content, and We do not guarantee the privacy of such information. You hereby grant to AMCG, subject to the terms of our Privacy Policy, a perpetual, worldwide, irrevocable, unrestricted, non-exclusive, royalty-free license to use, copy, license, sublicense, adapt, distribute, display, publicly perform, reproduce, transmit, modify, edit, and otherwise use or incorporate such User Content without restriction throughout the world, in all media now known or hereafter developed, for any purpose whatsoever, including without limitation, developing, manufacturing, distributing and marketing products. We are not responsible for maintaining any User Content that you provide to Us, and We may delete or destroy any such User Content at any time.  User Content in areas of this Site that do require use of your log-in credentials for this Site is for public disclosure and will be deemed not to be confidential.  You should not provide information afforded protections by state or federal privacy laws in such User Content, and You acknowledge that such User Content is not intended to be kept confidential, and that it may result in public disclosure.

You represent and warrant that you own or otherwise control the rights to your User Content in all areas of this Site. We do not endorse or control the User Content transmitted or posted on the Site and therefore, We do not guarantee the accuracy, integrity or quality of User Content. You understand that by using this Site, you may be exposed to User Content that is offensive, indecent or objectionable to you. Under no circumstances will We be liable in any way for any User Content, including without limitation, for any errors or omissions in any User Content, or for any loss or damage of any kind incurred by you as a result of the use of any User Content transmitted, uploaded, posted, e-mailed or otherwise made available via this Site. You acknowledge that We have the right (but not the obligation) in our sole discretion to refuse to post or remove any User Content and reserve the right to change, condense, or delete any User Content. Without limiting the generality of the foregoing or any other provision of these Terms, We have the right to remove any User Content that violates, in our sole discretion, these Terms, applicable law, or that is otherwise objectionable. We reserve the right to refuse Services and/or terminate accounts without prior notice for any users who violate these Terms, applicable law, or the rights of others.

Deletion of User Content

If you wish to delete certain components of your public User Content, such as your ratings and reviews posting(s), on this Site or in connection with our mobile applications, please contact AMCG by email at amcgteam@asianmedicinecertificationgroup.org and include the following information in your deletion request: first name, last name, user name/screen name (if applicable), email address associated with our website, your reason for deleting the posting, product associated with deleting request, and date(s) of posting(s) you wish to delete (if you have it). We may not be able to process your deletion request if you are unable to provide such information to Us. Please allow up to 10 business days to process your deletion request.

Copyright Infringement Notices

You agree to use AMCG’s sensitive and confidential educational data only for reasons pertaining to purposes for which they are provided, and will not disclose it or allow it to be disclosed in any way unless allowed or directed to do so by AMCG.  AMCG’s “confidential information” as referenced in these Terms shall include any and all information which AMCG indicates as proprietary or confidential, is deemed as its intellectual property, and/or that may pose a risk to AMCGs’ intellectual property if disclosed.

Emails and Texts

Please use caution when e-mailing and texting AMCG or using other electronic communication tools to communicate with Us. You should consider that all such standard communications tools are not fully secure means of communication. Do not send Us emails, texts, or other electronic communications that include personal or sensitive information.  There is some risk that any information contained in standard email, text messages and other electronic communications may be disclosed to, or intercepted, printed, or stored by, unauthorized third parties.

AMCG cannot ensure the security or confidentiality of messages sent by unsecured email, regular texts, and other non-secure electronic communications.  By signing up for the Services and providing your cell phone number and/or email address, you expressly authorize AMCG to communicate with you via unsecured text and email communications and accept the privacy risks associated with the same. You further agree to any fees that you incur as a result of the communications (such as from your telecommunications provider).  Unsecured communications related to the Services may consist of reminder emails, application or Account updates, and/or other information about the Services.  By signing up for these Services, you agree to receive communications in this fashion.  You agree to verify the email address and phone number provided to Us and understand that anyone with access to such email or phone number may be able to see the communications We send to you at the email or telephone number you provide to Us.

You will be provided an opportunity to opt out of such communications or may submit your request directly to  amcgteam@asianmedicinecertificationgroup.org. However, you should note that opting out may impact your use of the Services.

General

You acknowledge and agree that these Terms and any updates made hereto constitute the complete and exclusive agreement between you and AMCG concerning your use of asianmedicinecertificationgroup.org, and nothing contained in these Terms shall be construed as creating any agency, partnership, or other form of joint enterprise between you and AMCG.

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its principles of conflict of laws.  You irrevocably agree that the exclusive venue for any action or proceeding arising out of or relating to these Terms or our relationship with you, regardless of theory, shall be the state and federal courts located in Orange County, Florida. You irrevocably consent to personal jurisdiction of these courts and waive any and all objections to the exercise of jurisdiction by these courts and to this venue. Notwithstanding the foregoing, you agree that any breach of these Terms by you will cause irreparable harm to AMCG and AMCG may commence and maintain an action or proceeding seeking injunctive or other equitable relief in any court of competent jurisdiction.

Our failure to require your performance of any provision hereof shall not affect our full right to require such performance at any time thereafter, nor shall our waiver of a breach of any provision hereof be taken or held to be a waiver of the provision itself. In the event that any provision of these Terms shall be unenforceable or invalid under any applicable law or be so held by any applicable arbitral award or court decision, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole and instead these Terms shall be modified, to the extent possible, by the adjudicating entity to most fully reflect the original intent of the parties as reflected in the original provision. The headings in the Terms are for convenience only and shall not be used in its interpretation.

By accessing this Site or the Services provided on this Site, placing an order for products or Services offered on this Site, or registering an Account on this Site, you agree to and acknowledge these Terms. If you place an order for or register for an Account through this Site you further represent that you are authorized to do so and take full responsibility for acceptance and payment of all future orders placed under your Account.

Limitation of Liability

By accessing this Site you expressly understand and agree that AMCG and its officers, directors, employees, agents, partners and licensors, shall not be liable to you for, and specifically excludes, any indirect, incidental, special, consequential, punitive, or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data, cost of procurement of substitute goods or services, or other intangible losses (even if AMCG has been advised of the possibility of such damages), resulting from: (i) the use or inability to use the Services or this Site (ii) any changes made to the Services or this Site, or any temporary or permanent cessation of any part thereof; (iii) the unauthorized access to or alteration of your transmissions or data not caused by AMCG; (iv) the deletion of, corruption of, or failure to store and/or send or receive your transmissions or data on or through this Site or the Services; (v) statements or conduct of any third party made available through this Site or the Service; and (vi) any other matter relating to this Site or the Services offered through this Site.

IN NO EVENT WILL THE AGGREGATE LIABILITY OF AMCG UNDER OR IN CONNECTION WITH THESE TERMS OR THEIR SUBJECT MATTER, INCLUDING THE SERVICES, UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING WITHOUT LIMITATION BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, AND OTHERWISE, EXCEED THE AMOUNT OF FEES PAID BY YOU TO AMCG IN THE PRECEDING TWELVE (12) MONTHS.

You acknowledge that AMCG will not be liable for any damages caused by downtime related to:

• System maintenance or upgrades;
• Force majeure events such as typhoons, earthquakes, floods, lightning, public health emergencies or terrorist attacks;
• Your electronic equipment hardware and software, communication lines, and power supply lines being faulty;
• Your improper operation or use of this Site or Services in ways not authorized or approved by AMCG; or
• Viruses, Trojan horses, malicious program attacks, network congestion, system instability, system or equipment failures, communication failures, power failures or government actions, etc., which We have managed in good faith.
